Firmware License Agreement
BEFORE OPENING OR UTILIZING THE ENCLOSED PRODUCT,
CAREFULLY READ THIS LICENSE AGREEMENT.
Thisdocumentisanagreement(“Agreement”)betweenthe enduser(“You”)andEnterasys Networks, Inc. onbehalfofitselfand
itsAffiliates(as hereinafterdefined)(“Enterasys”)thatsetsforthYourrightsandobligationswithrespecttothe Enterasys
softw areprogram/firmware installedontheEnterasysproduct (including an y accompanyin gdocumentation,hardw areormedia)
(“Program”)inthepackageandprevailsov eranyadditional,conflictingor inconsistenttermsandconditionsappe a ringonany
purchaseorderorotherdocumentsubmittedbyYou.“Affiliate”meansany person,partnership,corporation,lim itedliability
company,orotherfo rmofenterprisethatdirectlyorindirectlythroughoneormoreintermediaries,controls,
oriscontrolledby,or
isundercommoncontrolwiththepartyspecified.ThisAgreementconstitutesth eentireunderstanding betw e en theparties,and
supersedesallpr ior discussions,representations,un derstandings oragreements,whetheroralorinwriting,betweentheparties
withrespecttothesubjectmatterofthisAgreement.TheProgrammay
becontainedinfirmware,chipsorothermedia.
BYINSTALLINGOROTHERWISEUSINGTHEPROGRAM,YOUREPRESENTTHATYOUAREAUTHORIZEDTOACCEPT
THESETERMSONBEHALFOFTHEENDUSER(IFTHEENDUSERISANENTITYONWHOSEBEHALFYOUARE
AUTHORIZEDTOACT,“YOU”AND“YOUR”SHALLBEDEEMEDTOREFERTOSUCHENTITY)ANDTHATYOU
AGREETHATYOUAREBOUNDBYTHETERMSOFTHISAGREEMENT,WHICHINCLUDES,AMONGOTHER
PROVISIONS,THELICENSE,THEDISCLAIMEROFWARRANTYANDTHELIMITATIONOFLIABILITY.IFYOUDONOT
AGREETOTHETERMSOFTHISAGREEMENTORARENOT
AUTHORIZEDTOENTERINTOTHISAGREEMENT,
ENTERASYSISUNWILLINGTOLICENSETHEPROGRAMTOYOUANDYOUAGREETORETURNTHEUNOPENED
PRODUCTTOENTERASYSORYOURDEALER,IFANY,WITHINTEN(10)DAYSFOLLOWINGTHEDATEOFRECEIPT
FORAFULLREFUND.
IFYOUHAVEANYQUESTIONSABOUTTHISAGREEMENT,
CONTACTENTERASYS NETWORKS,LEGAL
DEPARTMENTAT(978)684‐1000.
YouandEnterasysagreeasfollows:
1. LICENSE. Youhavethenon‐exclusiveandnon‐transferablerighttouseonlytheone(1)copyoftheProgramprovidedin
thispackagesubjecttothetermsandconditionsofthisAgreement.
2. RESTRICTIONS. Exceptasotherwiseauthorized
inwritingbyEnterasys,Youmaynot,normayYoupermitanythird
partyto:
(i) Reverseengineer,decompile,disassembleormodifytheProgram, inwholeorinpart,includingforreasonsoferror
correctionorinteroperability,excepttotheextentexpresslypermittedby a pplicable lawandtotheextenttheparties
shall
notbepermittedbythatapplicablelaw,suchrightsareexpresslyexcluded.Informationne cessarytoachieve
interoperabilityorcorrect errorsisavailablefromEnterasysuponrequestanduponpaymentofEnterasys’applicablefee.
(ii) IncorporatetheProgram,inwholeorinpart,inanyotherproductorcreatederivativeworksbased
ontheProgram,in
wholeorinpart.
(iii) Publish,disclose,copy,reproduceortransmittheProgram,inwholeorinpart.
(iv) Assign,sell,license,sublicense,rent,lease,encumberbywayofsecurityinterest,pledgeorotherwisetransferthe
Program,inwholeorinpart.
(v) Removeanycopyright,trademark,proprietaryrights,disclaimeror
warningnoticeincludedonorembeddedinany
partoftheProgram.
3. APPLICABLELAW. ThisAgreementshallbeinterpretedandgovernedunderthelawsandinthestateandfederalcourts
oftheCommonwealthofMassachusettswithoutregardtoitsconflictsoflawsprovisions.Youacceptthepersonaljurisdiction
andvenue
oftheCommonwealthofMassachusettscourts.Noneofthe1980UnitedNationsConventiononContractsforthe
InternationalSaleofGoods,theUnitedNationsConventionontheLimitationPeriodintheInternationalSaleofGoods,andthe
UniformComputerInformationTransactionsActshallapplytothisAgreement.
